Agreement between Stolpe Publishing AB and the Hilma af Klint Foundation

 1. Parties

Stolpe Publishing AB, reg. no. 556784-2041, c/o the Axel and Margaret Ax:son Johnson Foundation for Public Benefit, Stureplan 3, 103 75 Stockholm; and

The Hilma af Klint Foundation, reg. no. 802425-1780, Mailbox 499, 114 11 Stockholm.

 2. Background

 2.1 Stolpe Publishing AB has contacted The Hilma af Klint Foundation with the purpose of publishing a Catalogue raisonné comprising all of Hilma af Klint's works.
 2.2 A Catalogue raisonné is a comprehensive, annotated listing of all known artworks by an artist, either in a specific medium or in all media identifiable by a third party.

 3. Grant
 3.1 The Hilma af Klint Foundation hereby grants Stolpe Publishing AB the right, during the term of this agreement, to edit, produce, publish, market, and distribute a Catalogue raisonné in printed form comprising all of Hilma af Klint's works. "Printed form" refers to copies produced by reprographic or similar means, and "publication" refers to distribution of copies to the public and official institutions, whether for compensation or not.

3.2 To facilitate publication under this agreement, The Hilma af Klint Foundation hereby grants Stolpe Publishing AB access to all of Hilma af Klint's works owned by the foundation and the right to use the photographic images of Hilma af Klint's works owned by The Hilma af Klint Foundation in the Catalogue Raisonné created by Stolpe Publishing AB under this agreement. Any other use of these works and photographs is not covered by this agreement.

3.3 The Hilma af Klint Foundation hereby also grants Stolpe Publishing AB the right, as needed, to photograph all works owned by The Hilma af Klint Foundation for use in the Catalogue Raisonné created by Stolpe Publishing AB, and agrees to provide access to the archive where Hilma af Klint's works are located for this purpose, provided that The Hilma af Klint Foundation does not incur any costs or expenses associated with such photography or access to the archive. Any other use of these photographs is not covered by this agreement.

 3.4 No compensation is provided for the rights granted to Stolpe Publishing AB and the cooperation provided by The Hilma af Klint Foundation in this collaboration. The Hilma af Klint Foundation is not obligated to take any actions within the scope of such cooperation if it entails any costs or expenses.

 3.5 The parties agree that this agreement does not grant Stolpe Publishing AB any rights other than those expressly stated herein, and that all rights between the parties regarding the reproduction in any form of Hilma af Klint's works belong to The Hilma af Klint Foundation, including so-called catalogue protection.

 3.6 Stolpe Publishing AB shall provide copies of the photographs taken under the agreement to The Hilma af Klint Foundation at no cost and hereby grants The Hilma af Klint Foundation the right to use them within the scope of its activities. The copies shall be provided in a medium and format allowing for professional reproduction.3.7 This agreement supersedes any previous agreements and understandings between the parties regarding the Work.

 4. Collaboration

 4.1 The Hilma af Klint Foundation also intends to cooperate, to the extent possible, in locating works by Hilma af Klint that are not in the foundation's possession.

 4.2 The Hilma af Klint Foundation is also prepared to collaborate in assisting with the identification and provenance of the works.

 4.3 The parties are not entitled to assign their rights and obligations under this agreement to a third party without the written consent of the other party.

 5. Publishing Obligations

 5.1 Stolpe Publishing AB is responsible for the editorial processing required for publication and has the right to determine proposals for the design, such as graphic layout. Stolpe Publishing AB shall submit the proposal to the Foundation for consultation before it is finally determined.

5.2 Stolpe Publishing AB shall, through customary marketing measures, ensure the dissemination of the Work and fulfill the publication to the extent reasonable given the possibilities of distribution and other circumstances.

 6. Compensation

 6.1 The Foundation shall receive 10 complimentary copies of the published Catalogue Raisonne. If the Foundation wishes to purchase additional copies, this shall be done at the regular sales price plus value-added tax and shipping costs.

 7. Duration of Agreement

 7.1 The agreement shall enter into force upon signing and shall remain in force until the end of the tenth calendar year after publication according to the agreement has ceased for all editions and versions. Thereafter, the agreement shall expire, and the rights granted shall revert to The Hilma af Klint Foundation.

7.2 If The Hilma af Klint Foundation, after publication has ceased but before the agreement has expired, wishes to publish a new edition or version of the Catalogue Raisonne, The Hilma af Klint Foundation shall first offer such publication to Stolpe Publishing AB in writing.

 8. Transfer of Rights and Obligations

The parties are not entitled to assign their rights and obligations under this agreement to a third party without the written consent of the other party.

 9. Confidentiality

The parties undertake not to disclose to any other party such information concerning this agreement or received from the other party and which is to be regarded as the business secrets of that party.

This agreement has been drawn up in two identical copies, each party receiving one.
