§ 15 UW's (Ulf Wagner´s) account of the relationship with the Johnson Foundation ("IP")

The issues noted by EaK in the adopted agenda (listed as points 1-4 below) were addressed.

Point 1: Account for the sums donated by AxJ to the Foundation, how much, when, and for what purpose?

UW informed that the Johnson Foundation made a donation to the Foundation totaling 4,332,000 SEK, disbursed over a period of three years with an amount of 1,444,000 SEK per year. The purpose of the donation was to cover the salary costs for JH and an assistant, as well as to disseminate research results regarding HaK's works through the CR and "seminar books." According to UW, there are gift letters regarding the donation.

Points 2-4: Are there agreements with AxJ? Has AxJ acted on behalf of the Foundation? Where and when? Clarification on whether there are any concessions from the Foundation or favorable agreements benefiting others besides the Foundation. This is also crucial for the Foundation's costs related to management and operations.UW informed that, to his knowledge, there are no other agreements or arrangements with the Johnson Foundation or the Ax:son Johnson sphere other than the aforementioned gift letter.

Upon EaK's question, UW committed to asking JH to send the relevant gift letter to EaK (with a copy to other board members), which, according to UW, should be possible during the next week.

UW emphasized that the support the Foundation received from the Johnson Foundation has been very valuable for the Foundation and a prerequisite for hiring an executive director.

§ 16 UW's account of the circumstances regarding the compensation he received from the Foundation ("IP/BP")Point 1: UW has received compensation from the Foundation. How much has it been per month and annually during the period 2019-2023?UW explained that his compensation from the Foundation for the years 2019 - 2022 amounted to the following:2019: 280,000 SEK2020: 160,000 SEK2021: 346,000 SEK2022: 337,000 SEK

Points 2-5:2. UW has not accounted for the work either in task or time, which is contrary to the agreement (Annex 8).

  1. UW should report previously performed work with time entries from 2019 and onwards. (BP)
  2. If UW is to work for the Foundation in the future, this should be done with time reporting and approved by the chairman before payment is made. (BP)
  3. UW should obtain board decisions for his tasks to be compensated by the Foundation before the work is performed. (BP)

UW further briefly described the work he does for the Foundation.

Initially, he handled all lending activities. He later trained JH in lending work, including transportation and contacts with the storage facility in Tumba. He and JH have almost daily contact. His work also includes providing service and information to researchers of HaK's works (currently with 4-5 dissertations in progress). Important parts of the material, such as HaK's notebooks, are only available in Swedish, which generates additional work for foreign researchers, including translations. Today, research-related work constitutes the largest part of the working time.

UW emphasized that he regularly spends significantly more time on work for the Foundation than he has committed to in his agreements with the Foundation. This is because his tasks involve elements that consume a lot of time.

AK expressed confidence in UW and highlighted that UW's work has been crucial for the Foundation. AK further emphasized that it is invaluable for the Foundation to have someone with UW's knowledge and expertise. According to AK, it is also not adequate to report hours for the work UW does, and there is no reason, according to AK, to make any changes to the procedures applied regarding UW's compensation. AK emphasized that it is advantageous for the Foundation to continue with the agreement that exists with UW, and therefore, this agreement should continue to be applied as before until UW says otherwise.

KKdV underscored the importance of having the expertise UW possesses within the board.

DL noted that it is reasonable to report worked hours even if the tasks are complex.

UW stated that according to his agreement with the Foundation, specification of work done should be provided as necessary, for example, if it concerns work done by someone else, such as a borrower, who should pay.

After the discussion, AK proposed that compensation to UW should continue to be made in accordance with previous procedures.

It was unanimously decided by KKdV, AK, JS, and EaK that compensation to UW should continue to be made in accordance with previous procedures.

It was noted that UW did not participate in the decision.
